Terms of Service

1. Acceptance of Terms

These Terms of Service (“Terms”) form a binding legal agreement between you (“User,” “you”) and DH Consulting (“Company,” “we,” “us”), the owner of the AI Junkies University brand. By creating an account, completing checkout, clicking “I Confirm I Have Access,” or otherwise using the platform at aijunkiesuniversity.com (the “Service”), you agree to these Terms, our Privacy Policy, and our Refund Policy. If you do not agree, do not use the Service.

You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service. By accepting these Terms you represent that you meet this requirement.

We may revise these Terms at any time by posting an updated version at this URL. Material changes take effect 30 days after posting (or immediately for legally required changes). Continued use after the effective date constitutes acceptance. We retain a versioned record of every change.

2. Account Responsibilities

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account, whether or not authorized by you. You must:

  • Provide accurate, current, and complete information at registration
  • Promptly update your account if any information changes
  • Use a strong, unique password and not share it with anyone
  • Notify us immediately at support@aijunkiesuniversity.com if you suspect unauthorized access
  • Not transfer or sell your account to another person
  • Not create more than one account per individual without prior written consent

We are not liable for any loss arising from your failure to keep your credentials secure or from your delay in reporting unauthorized access.

3. Subscriptions, Payments, and Auto-Renewal

The Service offers tiered subscription plans (Free, Junkies Plus, Inner Circle, Co-Pilot) and one-time purchase tiers (AI Junkies lifetime). Plan features and pricing are described at /pricing and may change with 30 days' notice.

Auto-renewal. Subscriptions renew automatically at the end of each billing cycle at the then-current rate, charged to the payment method on file. You authorize us and our payment processor (Stripe) to charge that payment method on each renewal until you cancel.

Cancellation. You may cancel at any time from Settings » Billing. Cancellation stops future charges; you retain access until the end of the current paid period. Refunds for the current period are governed by our Refund Policy.

Failed payments.If a renewal payment fails, we will retry per Stripe's standard dunning schedule and notify you. After a 7-day grace period your access may be suspended and your subscription cancelled. Re-subscribing after suspension may be subject to a reactivation fee at our discretion.

Taxes. Stated prices do not include sales tax, VAT, GST, or similar taxes, which will be added where applicable and remitted by Stripe or the Company.

Stripe Terms. By providing payment information you also agree to Stripe's Services Agreement. We do not store full card numbers; payment details are handled entirely by Stripe.

4. Content Ownership and License

Course content owned by teachers.Courses, recordings, lesson materials, and other instructional content uploaded by teachers (“Teacher Content”) are owned by the respective teacher. Teachers grant the Company a worldwide, royalty-free license to host, transmit, transcode, and display Teacher Content on the Service. You may consume Teacher Content for personal use only and may NOT download, redistribute, resell, copy, screen-record, or republish it without explicit written permission from the teacher.

User-generated content.Content you post in feeds, chat, comments, posts, or any other interactive feature (“User Content”) remains yours. By posting, you grant the Company a worldwide, perpetual, royalty-free, sublicensable license to host, store, reproduce, modify, distribute, display, and create derivative works from your User Content for the purposes of operating, improving, and promoting the Service. You represent and warrant that you own or have the necessary rights to grant this license.

AI processing.User Content and Teacher Content may be processed by third-party AI services (including but not limited to Anthropic Claude, Google Gemini, and OpenAI Whisper) for purposes including transcription, embedding generation, search indexing, content recommendations, AI coaching responses, and abuse detection. By posting content you consent to such processing under those vendors' respective terms.

Platform IP.The Service's software, design, trademarks, and brand assets remain the exclusive property of the Company. These Terms do not grant you any right in our intellectual property.

5. Acceptable Use

You agree NOT to:

  • Post content that is unlawful, defamatory, harassing, hateful, fraudulent, threatening, or sexually explicit
  • Post content that infringes any third party's copyright, trademark, trade secret, privacy, publicity, or other right
  • Impersonate any person or entity or misrepresent your affiliation
  • Solicit, recruit, or otherwise target other members for off-platform paid services or competing communities
  • Use the Service to send unsolicited commercial messages (spam) on or off the platform
  • Attempt to access content, rooms, courses, or recordings outside your subscription tier's entitlements
  • Reverse engineer, decompile, scrape, or use automated tools to extract Service data
  • Interfere with the Service's operation, including overwhelming it with requests, exploiting bugs, or bypassing rate limits, security controls, or abuse-detection systems
  • Use the Service in any way that violates any applicable law or regulation
  • Distribute malware, viruses, or any other malicious code via the Service
  • Manipulate gamification points, ratings, referrals, leaderboards, or any other Service mechanic
  • Operate multiple accounts to evade restrictions, suspensions, or per-account limits

6. Suspension and Termination

By you. You may delete your account at any time from Settings. Deletion does not entitle you to a refund of fees already paid.

By us. We may suspend or terminate your account and remove your content, with or without prior notice, if we reasonably determine that you have:

  • Violated these Terms or any other Service policy
  • Initiated a chargeback without first contacting our support team
  • Engaged in fraudulent, abusive, or harmful conduct
  • Caused or threatened harm to other users or the Service
  • Failed to pay any amount due
  • Violated any applicable law

On suspension or termination, your access to all content (including courses, recordings, and chat history) ends. Past fees are non-refundable. Sections that by their nature should survive (intellectual property, indemnification, limitation of liability, dispute resolution, governing law) survive termination.

7. Teacher and Affiliate Terms

Teachers operating rooms on the platform are bound by these Terms plus any separate Teacher Agreement signed at onboarding. Teachers represent and warrant that they have the right to all content they post and that their content does not infringe any third party's rights.

Affiliates participating in the referral program are bound by these Terms plus a separate Affiliate Agreement that must be signed before any payouts are released. Commission terms, clawback rules, and ban triggers are documented in that Agreement.

Independent contractors. Teachers and affiliates are independent contractors, not employees, partners, or joint venturers of the Company. Each is responsible for their own taxes (including U.S. 1099-NEC obligations where applicable).

8. DMCA / Copyright Complaints

We respect the intellectual property rights of others and respond to valid notices of alleged infringement under the Digital Millennium Copyright Act (DMCA). To submit a takedown notice, send an email to dmca@aijunkiesuniversity.com containing:

  • Your physical or electronic signature
  • Identification of the copyrighted work claimed to be infringed
  • Identification and URL of the allegedly infringing material
  • Your contact information (address, phone, email)
  • A statement made under penalty of perjury that you have a good-faith belief that the use is not authorized and that the information in the notice is accurate

We may remove allegedly infringing material upon receipt of a valid notice. Repeat infringers' accounts will be terminated under our policy.

9. Privacy and Data

Our handling of personal data is described in the Privacy Policy. By using the Service you consent to that processing. You may request export or deletion of your personal data at any time from Settings or by emailing privacy@aijunkiesuniversity.com.

10. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICE OR THE SERVERS THAT MAKE IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

We make no guarantees regarding teacher availability, course completion outcomes, financial results, or any specific benefit from using the Service. Educational content represents the opinions of teachers and is not professional legal, financial, medical, or other regulated advice.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, REVENUE, DATA, USE, OR GOODWILL) ARISING FROM OR RELATED TO THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).

Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions, our liability will be limited to the maximum extent permitted by law.

12. Indemnification

You agree to defend, indemnify, and hold harmless the Company and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from or related to (a) your use of the Service, (b) your User Content, (c) your violation of these Terms, (d) your violation of any third party's rights, or (e) your violation of any applicable law.

13. Dispute Resolution and Governing Law

Governing law. These Terms are governed by the laws of the State of [STATE], United States, without regard to conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Mandatory arbitration.Any dispute, claim, or controversy arising from or related to these Terms or the Service (a “Dispute”) will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Arbitration will be conducted in [CITY, STATE] or via remote proceedings at the arbitrator's discretion. The arbitrator's decision is final and may be entered as a judgment in any court of competent jurisdiction.

Class-action waiver. YOU AGREE TO RESOLVE DISPUTES ONLY ON AN INDIVIDUAL BASIS AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION. The arbitrator may not consolidate claims of more than one person.

Opt-out. You may opt out of this arbitration agreement by sending written notice to legal@aijunkiesuniversity.com within 30 days of first accepting these Terms. Opting out does not affect any other provision.

Equitable relief. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights or confidentiality obligations.

14. Force Majeure

Neither party will be liable for any failure or delay in performance caused by circumstances beyond its reasonable control, including acts of God, war, terrorism, civil unrest, labor disputes, government action, internet or telecommunications failures, third-party service provider outages, or pandemics.

15. Assignment

You may not assign or transfer these Terms or any rights hereunder without our prior written consent. We may assign or transfer these Terms freely, including in connection with a merger, acquisition, sale of assets, or similar transaction.

16. Severability and Waiver

If any provision of these Terms is held invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force. Our failure to enforce any right or provision is not a waiver of that right or provision.

17. Entire Agreement

These Terms (together with the Privacy Policy, Refund Policy, and any Teacher Agreement or Affiliate Agreement you may have signed) constitute the entire agreement between you and the Company regarding the Service and supersede all prior agreements and understandings.
